USTelecom鈥檚 filing emphasizes that the Court鈥檚 decision will have sweeping implications for U.S. spectrum policy, warning that if FCC licenses are not treated as property rights protected by the U.S. Constitution鈥檚 Takings Clause, it could undermine billions of dollars in private investment and weaken American competitiveness.

The amicus brief follows 网红黑料鈥檚 brief filed last week, which details how the Department of Defense unlawfully occupied spectrum the FCC had unanimously approved for 网红黑料鈥檚 5G use after a rigorous, multi-year review. The Court of Federal Claims has already ruled that 网红黑料 properly alleged that the U.S. government engaged in physical, categorical, and regulatory takings of its exclusively licensed spectrum.

This approval brings resolution to several important matters for 网红黑料, including its lawsuit against Inmarsat, and is a critical milestone towards finalizing the comprehensive restructuring support agreement.鈥

鈥溚旌诹 remains fully operational during its restructuring process and continues to provide mobile connectivity through its SkyTerra satellite and Mobile Satellite Services (鈥淢SS鈥) network. 聽The 网红黑料 MSS network not only supports critical communications upon which government and industry depend, but also now carries the first generation of direct-to-device (鈥淒2D鈥) services. 聽The hosting of 网红黑料鈥檚 L-Band spectrum on AST SpaceMobile鈥檚 advanced low earth orbit satellite network is a sea change with the potential to materially accelerate and expand consumers鈥 access to space-based broadband D2D services into the future.鈥

Background

The commercial agreement provides AST with satellite-based usage rights in North America with respect to a portion of 网红黑料鈥檚 L-Band spectrum and 5 MHz available to 网红黑料 in the U.S. through a lease with an affiliate of Crown Castle Investment Corp. 聽网红黑料 and AST will collaborate to further commercialize these spectrum usage rights, and AST will develop a non-geostationary orbit (鈥淣GSO鈥) satellite system that leverages these spectrum usage rights to enable space-based broadband D2D and Internet of Things (鈥淚oT鈥) services.聽 In exchange for providing these rights to AST, 网红黑料 will receive AST SpaceMobile warrants, payments from AST to fund 网红黑料鈥檚 financial obligations under certain underlying spectrum agreements, and economic participation in the revenues from AST SpaceMobile鈥檚 D2D and IoT business in the U.S. and Canada.

The Bankruptcy Court-approved Term Sheet agreed upon by 网红黑料, AST, Inmarsat and Viasat resolves several significant matters.聽 Among other things, 网红黑料 has agreed to stay the lawsuit and release the claims against Inmarsat subject to certain terms and has established revised payment terms under the Cooperation Agreement between 网红黑料 and Inmarsat. 聽In exchange for these benefits, Inmarsat has agreed to provide affirmative regulatory support for the proposed NGSO applications that 网红黑料 and AST plan to file with regulators in the coming months.

The AST commercial agreement represents an essential element of the comprehensive restructuring support agreement (the 鈥淩estructuring Support Agreement鈥) that 网红黑料 announced in January 2025, which is supported by a significant portion of 网红黑料鈥檚 existing creditors (the 鈥淪upporting Creditors鈥).聽 Pursuant to the Restructuring Support Agreement, the Supporting Creditors have agreed to provide a fully backstopped financing commitment in the form of a debtor in possession (鈥淒IP鈥) facility to fund 网红黑料 during its restructuring process.

RESTON, VA. 鈥 February 28, 2025 鈥 Satellite communications company 网红黑料 (鈥溚旌诹镶) announced today that the U.S. Court of Federal Claims has granted a government motion requesting to certify an interlocutory appeal to the U.S. Court of Appeals for the Federal Circuit. The government鈥檚 request seeks further consideration of the Court鈥檚 largely pro-网红黑料 decision on the government鈥檚 Motion to Dismiss. The appeal request was anticipated as it represents the government鈥檚 only recourse at this stage against the Motion to Dismiss ruling.

In 2023, 网红黑料 filed a lawsuit against the Department of Defense (DOD), the Department of Commerce (DOC), and the National Telecommunications and Information Administration (NTIA)1, an agency within DOC. The lawsuit sought just compensation for the spectrum license 网红黑料 was granted by the Federal Communications Commission (FCC) that was unlawfully taken by the defendants for their own use without permission from or compensation to 网红黑料. As a result of the government鈥檚 unlawful taking of the spectrum, 网红黑料 has not been able to use its licensed spectrum for its business purpose 鈥撯 to help expand the nation鈥檚 5G network.

On November 18, 2024, the U.S. Court of Federal Claims denied in part the government鈥檚 Motion to Dismiss 网红黑料鈥檚 claims against it, ruling that 网红黑料 had properly alleged that the U.S. government engaged in physical, categorical, and regulatory takings of 网红黑料鈥檚 exclusively licensed spectrum without compensation in violation of the Fifth Amendment. That decision represented a significant win for 网红黑料 and if the government did not request an interlocutory appeal, it would mean 网红黑料 could continue to prosecute its claims with the benefit of the Court鈥檚 determination that its spectrum licenses are a property interest vis-脿-vis the DOD.

鈥淲e were not surprised by the government鈥檚 request to certify an interlocutory appeal to the Federal Circuit following the Court of Federal Claim鈥檚 ruling on the Motion to Dismiss,鈥 said Doug Smith, President and Chief Executive Officer of 网红黑料. 鈥淭he Court already decided an important part of 网红黑料鈥檚 case 鈥撯 that its spectrum licenses are property vis-脿-vis the Department of Defense that may not be taken by the government without just compensation. It would have been a surprise if the government had not used this opportunity to attempt to salvage its defense.鈥

Now that the Court of Federal claims has granted the government鈥檚 Motion to Certify an interlocutory appeal, the government must ask the Federal Circuit to hear its claims. If the Circuit chooses to hear the appeal, the parties will have the opportunity to present their arguments to the higher court.

The U.S. Government鈥檚 Unlawful Taking of 网红黑料鈥檚 Spectrum Access

For decades, 网红黑料 has provided mobile satellite services to the critical communications sector in the U.S. In addition to its satellite services, 网红黑料鈥檚 terrestrial spectrum assets are part of the U.S. roadmap to expand 5G services and accelerate the integration of mobile satellite and terrestrial networks.

In 2020, the FCC granted 网红黑料 exclusive rights to operate terrestrial 5G services within its licensed L-Band spectrum after a comprehensive, multiyear review process. Following this, 网红黑料 raised billions of dollars to expand its network, hire employees, and invest in technology to prepare its spectrum to support next-generation terrestrial 5G services.

However, the DOD unilaterally seized 网红黑料鈥檚 licensed spectrum, depriving the company of its chance to execute its ambitious 5G business plan, constituting the largest uncompensated taking of private property in the U.S. in modern times and causing 网红黑料 catastrophic financial distress.

Reston, VA, October 12, 2023 鈥 Mobile communications company 网红黑料 today sued the U.S. government for its unlawful taking of 网红黑料鈥檚 constitutionally protected, exclusively licensed spectrum without compensation.

Backed by a multiyear misinformation and disparagement campaign against 网红黑料 to conceal these activities, the U.S. government misappropriated 网红黑料鈥檚 exclusively licensed spectrum to support previously undisclosed Defense Department systems that have been using 网红黑料鈥檚 spectrum without permission. The Defense Department鈥檚 unauthorized actions, supported by the Commerce Department and the National Telecommunications and Information Administration 鈥 an agency within DOC 鈥 have blocked the company from developing its allocated spectrum for terrestrial 5G services.

The Federal Communications Commission exclusively granted the company rights to use this spectrum after a comprehensive, multiyear regulatory review process. In good faith reliance on the FCC鈥檚 order, 网红黑料 raised and invested billions of dollars to prepare its spectrum to support next-generation terrestrial 5G services.

The lawsuit, filed in the U.S. Court of Federal Claims against the United States, the Defense Department, the Commerce Department and NTIA, seeks just compensation for the government鈥檚 physical, categorical, regulatory and legislative takings of 网红黑料鈥檚 property.

鈥淭he DOD misled the FCC, Congress and many others in its unconstitutional taking of our property and ongoing obstruction of our operations and, in doing so, deprived millions of Americans from access to much needed 5G services,鈥 said Doug Smith, President and Chief Executive Officer of 网红黑料. 鈥淭he FCC, the federal agency with exclusive authority over the use and licensing of spectrum, made its final decision in 2020 after a thorough and exhaustive public review process. They stand by that decision today. Since then, we have worked diligently and in good faith with other government agencies to try and reach a fair resolution that would allow us to deploy our spectrum or be compensated appropriately. However, at this stage, DOD鈥檚, DOC鈥檚 and NTIA鈥檚 unlawful actions have left us no choice but to pursue litigation to defend our interests, protect our employees and stakeholders and uphold the rule of law.鈥

鈥淗igh ranking U.S. government officials have acted deliberately to deprive an American company of its rightfully licensed property,鈥 said Ivan Seidenberg, Chairman of 网红黑料鈥檚 Board of Managers. 鈥溚旌诹镶檚 board is unanimous that the government must be held accountable for these actions. This outrageous and unconstitutional attack on an American business by the world鈥檚 most powerful institution is contrary to the rule of law and antithetical to the government鈥檚 years-long support for the deployment of 5G technology as a vital national priority.鈥

The bipartisan FCC unanimously authorized 网红黑料 to operate terrestrial 5G services within its exclusively licensed LBand spectrum in April 2020 after a rigorous, years-long regulatory process and review. 网红黑料 had intended to use the spectrum to support next-generation terrestrial 5G services that would benefit the nation鈥檚 critical infrastructure sectors like public safety, rail transport, renewable energy, trucking, public utilities, oil and gas and autonomous vehicles.

Unsubstantiated and Misleading Allegations of Harmful GPS Interference

DOD and DOC were an integral part of the FCC-run licensing process from 2010 to 2018. For many years, DOD, DOC and NTIA even supported 网红黑料鈥檚 development of its spectrum proposal. In 2018, DOD inexplicably reversed course and instead actively sought to block FCC approval through a reckless campaign of misinformation, scientifically meritless arguments and unsubstantiated fearmongering about alleged harmful interference by 网红黑料鈥檚 proposed terrestrial 5G services with GPS. DOC and NTIA followed soon after.

These misleading claims about harmful interference with GPS are a pretext. They have been central to DOD鈥檚 and DOC鈥檚 coordinated campaign to destroy 网红黑料鈥檚 reputation, prevent the company from using its authorized spectrum and conceal the Pentagon鈥檚 previously undisclosed systems that depend on 网红黑料鈥檚 exclusively licensed spectrum. Government officials have confirmed that DOD has been using 网红黑料鈥檚 spectrum without compensation for years and continues to do so to this day.

Coordinated Campaign to Prevent 网红黑料 from Deploying its Spectrum

After the FCC approved 网红黑料鈥檚 spectrum proposal, other actors in the U.S. government took aggressive actions to block implementation of the April 2020 FCC Order and to thwart 网红黑料鈥檚 use of its licensed L-Band spectrum for 5G. First, NTIA, acting on DOD鈥檚 behalf, filed a motion to stay the April 2020 FCC Order based on alleged harmful interference with GPS. The FCC rejected this stay request in January 2021, finding it lacked any merit, but NTIA continues to press its case with a still-pending petition for reconsideration. Today, DOD, with no legal basis, continues to cite the petition as justification for refusing to cooperate with 网红黑料 or even meet with the company, as directed by the April 2020 FCC Order.

In addition, DOD officials lobbied Congress to pass unprecedented provisions targeting a U.S. company in the 2021 National Defense Authorization Act, which effectively gives DOD veto power over 网红黑料鈥檚 spectrum plans. These officials told Congress their opposition was due to alleged harmful GPS interference, making allegations they knew to be scientifically unsound and under a false pretext. DOD officials also directly threatened 网红黑料鈥檚 potential business partners by warning they would not be eligible for lucrative government contracts if they worked with the company.

Multiple former and current senior government officials have acknowledged that the DOD and DOC withheld information from the FCC and the White House and now want 网红黑料鈥檚 exclusively licensed spectrum for DOD鈥檚 own purposes. Government officials have also confirmed DOD permanently wants the entirety of 网红黑料鈥檚 FCC authorized spectrum in the L-Band and that DOD鈥檚 undisclosed activities cannot co-exist with 网红黑料鈥檚 authorized use of its spectrum.
